You agree to read and comply with our Terms and Conditions when it applies to the work you undertake for Avanthis International Co.,Ltd (Tradoos.com).

By completing and submitting to The Company the Registration Form, I consent that I fully understand the provisions and consequences of this agreement and that I agree and will abide by the Terms and Conditions of this agreement.

Definitions:

• "The Company" refers to Tradoos.com. 
• "Translator" refers to the person to whom Tradoos.com has addressed its Purchase Order for the Translation Services. 

Translator’s status:

1. I confirm that I am an independent contractor and will act as such for all the services rendered to me by The Company. I understand that I am NOT an employee of The Company.

2. The Company respects my privacy and guarantees not to disclose my personal information (email address, telephone number, etc.) to any third party without my permission.

3. I will notify The Company immediately if my contact details (including postal, home or mobile telephone and e-mail) change.

4. I will not sub-contract out work forwarded to me for completion by The Company to another service provider/individual unless The Company has agreed to it.

5. The Company will NOT withhold any taxes from my fees but The Company will report my gross fees as required by Local law. Therefore, I am responsible for all applicable taxes on my gross fees. 

Standard of Services:

1. I agree to translate all materials provided by The Company, accurately and completely, into the Target Language and shall deliver the translated materials ("Translations"), via E-mail to The Company.

2. I agree to provide services in accordance with The Company's specifications, to complete all assignments previously accepted by me and to have my work reviewed by The Company and/or an independent third party. If it is determined that I have returned sub-standard or incomplete work, The Company has the right to withhold and/or reduce payment according to the level of inaccuracy without any prior notice. If there is evidence that the quality of the translated work is below standard The Company has the right to terminate the contract with me.

3. I understand that during an assignment I shall report to a representative of The Company and provide summaries of my services upon request.

4. When working on a computer, I will save my work every 15 minutes and will keep a hard copy on separate computers or CDs to avoid any loss of work done. I will also retain 1 soft copy of my completed work for up to 15 days after the date of submission. I am responsible for any loss of work due to my negligence, power failure, computer virus, theft or loss of my computer or any other technical cause.

5. In the event The Company authorizes me to liaise with the client for clarification purposes I will not initiate or engage any discussion of fees, payments or salaries with the client. If the client initiates such a discussion, I will explain that I cannot discuss this with them and I will refer them to The Company. I understand that any poaching of clients will result in civil action, and the immediate cancellation of the contract with The Company.

6. I agree, for translation assignments, to rectify any errors or omissions which the Customer informs us of (provided they do so within 20 days of receiving the finished work) without any further fees being paid to me.

7.	I agree to return all source documents, preparatory materials and copies of source documents/preparatory materials within 48 hours of a request by The Company.

8.	IfＩ use translation software I agree to send the Translation Memory I create and that the Translation Memory will not be used for any other project unless explicitly requested by The Company.

Confidentiality:

 I agree that at all times, both during and after  the duration of  assignments with The Company , I shall not directly or indirectly use or disclose any Confidential Information to any third person or entity outside The Company, except (i) as may be necessary in the good faith performance of my duties for International Paper or (ii) as I may be required to disclose under any applicable laws, regulations or directives of a governmental entity having jurisdiction in the matter or under subpoena or other process of law, provided that I shall promptly notify the Company in writing of any such requests for disclosure.
 
I shall not discuss the rates which I receive for services rendered with representatives of any organization other than The Company. 

Non-Solicitation:
  
During the assignment with The Company and for twelve (12) months following the termination of my assignment  for any reason (the “Customer Non-Solicitation Period”), in order to protect The Company’s confidential Information, I agree that I will not, either on my own behalf or on behalf of any other person or entity, directly or indirectly, solicit, sell or assist anyone in the sale of or provide service relating to any of The Company’s products or products similar to those sold by The Company to any person, company, firm, or corporation who is or was a customer of International Paper within one (1) year prior to the termination of  the assignment and with whom I, or those employees reporting to me, had Material Contact during the last year of my assignment.

For the purpose of this Non-Solicitation Agreement, Material Contact shall be defined as personal contact or the supervision of the efforts of those who have direct personal contact with a customer or potential customer.

I agree not to induce or attempt to influence, directly or indirectly, any employee and \or contractor working for The Company to terminate his/her employment or association with The Company.

Payment:

1. The Company guarantees that I will receive their payments in time, if the Client is completely satisfied with the quality of translation services and the lead time.
 
2. I agree if the translation project is canceled after a project assignment has been made, I will be paid for all work completed up to the time of cancellation.

3. I understand that The Company will process payments electronically via PayPal. It is my responsibility to arrange a PayPal account and provide The Company with correct payment details.

4. I understand that upon breaches of agreement The Company reserve the right to reduce or withhold some or all of the fees which were due to be paid on completion of the assignment.

5. I understand that by accepting the present translation project, I will take all the possible steps to ensure that the translated work is returned within the agreed submission deadline. In case I do not submit the translated work on time, The Company has full right to reduce any agreed payment of 3% per working day of delay, up to a maximum of 100%. If I am aware that I will be unable to submit the translated work on time, I will inform The Company in writing immediately.

6. After I have accepted the work, I will not re-discuss payment terms or rate, nor will I demand from The Company any advance other than agreed before. 

Intellectual Property

1. I agree that all information forwarded to me by The Company is the property of The Company. 
2. I agree that my services I perform such as translation(s) remain the property of The Company and I will not claim copyright or other intellectual property rights to my translations or other services I perform for the Company. 

Notices:

Any notice, request, instruction, or other document to be given hereunder shall be in writing .Any Notice sent by mail shall be deemed to have been duly served three working days after the date of posting. Any Notice sent by facsimile or other electronic means shall be deemed to have been duly served at the time of transmission.

Legality:

1. This contract will be in full effect from: 
   - the date it is signed, and/or 
   - when I accept it by filling in the Agreement Form forwarded to me by The Company at the time of The Company's offer and submitting it by email to The Company and/or 
   - when I check the box on The Company's website during the registration process. 

2. This contract will remain in effect for 2 years after I last perform a service for The Company. If any term or provision of these Conditions is held invalid, illegal or unenforceable for any reason by any Court of competent jurisdiction, such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if these Conditions had been agreed with the invalid, illegal or unenforceable provision eliminated.

3. I agrees to indemnify and keep The Company indemnified against any and all damages, losses, lost profits, expenses, proceedings, costs (including increased administration costs and legal costs on a full indemnity basis), actions, awards, claims and any other losses and/or liabilities suffered by The Company and arising from and/or relating to any breach of contract, any tortious act and/or omission and/or any breach of statutory duty by me.

Applicable Law and Arbitration:

1. The Agreement and all agreements resulting there from shall be governed exclusively by the laws of Taiwan, ROC, to the exclusion.

2. In case of any dispute or default relating to or arising from this agreement, it shall be settled by the Parties hereto through discussion and negotiation in good faith.  In failing to settle the dispute accordingly, the Taiwan Taipei District Court shall have first jurisdiction over all disputes arising directly or indirectly hereunder between the Parties.  Parties consent to the jurisdiction thereof and agree not to disturb such choice of forum.
